The Executive Committee of the Alumni shall consist of the President, Vice President, Secretary, Assistant Secretary, Treasurer and five (5) Ordinary Committee Members elected at the Annual General Election conducted via the Alumni website. |

All members of the Executive Committee and every officer performing executive functions in the Alumni shall be citizens of Malaysia; |

The Executive Committee shall hold office for two (2) years. Names of the offices listed in Clause 1 of this Article shall be proposed and seconded and election shall be by a simple majority vote of the Ordinary members. All officers shall be eligible for re-elections; |

The Executive Committee shall meet at least once every three months and seven (7) days notice of each meeting shall be given to the Committee Members. The President acting alone or not less than four of its members acting together may call for a meeting of the Executive Committee to be held at any time. At least one half (1/2) of the Executive Committee members must be present for its proceedings to be valid and to constitute a quorum. |

The Executive Committee shall carry out the aims and objectives and is jointly responsible in its duties and functions to the Alumni in between General Meetings; |

The Executive Committee may make or repeal or vary from time to time any Standing Order for the proper administration of the Alumni but the making, repealing and varying of such Standing Order shall not be inconsistent with the general policies of the Alumni as laid down at its General Meeting or the provisions of this Constitution; |

In the event of a demise or resignation of a Committee member, a member who received the second highest vote at the previous election of an Annual General Election shall be invited to fill in the office. If the member is not available or decline the offer, the Executive Committee shall have the power to appoint an ordinary member of the Alumni to the Committee; |

Any member of the Executive Committee who fails to attend or at least participate virtually three (3) consecutive meetings of the Committee without satisfactory explanation shall be deemed to have resigned from the Committee; |

The Executive Committee shall give instructions to the Secretary and other officers for the conduct of the affairs of the Alumni. It may appoint such organizers and such staff it deems necessary. It may suspend or dismiss any organizer or member of the staff for any reason which it deems good and sufficient in the interest of the Alumni; |

The Executive Committee may establish Sub-Committees if it deems necessary and assign special responsibilities to any members of the Executive Committee; and |
| 11. |
No member of the Executive Committee shall be present or vote in any Committee meeting on any matter in which he/she has a personal interest. |
